Terms of Service (excerpt)
The following sections are reproduced in full from the Dendrix Master Services Agreement. Sections 1 to 13 and 20 to 41 are available to customers in Dendrix Evidence.
Section 14. Customer Data
14.1 As between the parties, Customer owns Customer Data. Customer grants Dendrix a perpetual, irrevocable, worldwide, royalty-free license to host, copy, transmit, display, analyze, transcode, summarize and otherwise process Customer Data to provide, maintain and improve the Services.
14.2 “Customer Data” means video, audio and documents uploaded by Customer. Customer Data does not include Derived Data.
14.3 “Derived Data” means metadata, device telemetry, activation events, transcripts, embeddings, model outputs and statistics generated by the Services. Derived Data is owned by Dendrix.
14.4 Retention of Customer Data is determined by the Plan Allowance. “Plan Allowance” means the retention period associated with Customer’s plan tier on the date of capture or, if shorter, on the date of review.
Section 15. Access
15.1 Customer may access Customer Data through the Services during the Term. Access is billed at the rates in the Order Form.
15.2 Access by Customer’s authorized users is logged. Access by Dendrix personnel for support, quality, safety or product improvement purposes is logged internally.
Section 16. Availability
16.1 Dendrix will use commercially reasonable efforts to make the Services available 99.98% of the time, measured quarterly at the application layer.
16.2 Availability excludes scheduled maintenance, agency network events, firmware synchronization windows, retention optimization, degraded experiences, and events caused by third-party carriers, including Whizz Wireless.
16.3 Customer’s sole remedy for unavailability is a service credit, applied at renewal.
Section 17. Retention Optimization
17.1 Customer acknowledges that Dendrix may, at its sole discretion, optimize retention of Customer Data to improve platform performance. Optimization does not constitute deletion.
17.2 Optimization may include compression, transcoding, frame reduction, audio reduction, relocation, consolidation and removal of Customer Data that has exceeded the Plan Allowance.
17.3 Customer Data subject to a legal hold that has been entered in the Services before optimization will not be optimized.
Section 18. Device Telemetry
18.1 Devices generate telemetry, including recording state, buffer state, Quiet Mode state, location and activation events. Telemetry is Derived Data and is not part of Customer Data.
18.2 Dendrix may provide telemetry to Customer on request, in a format chosen by Dendrix, at the rates in the Order Form.
18.3 Telemetry does not constitute a record of events and should not be relied upon as such.
Section 19. Term, Continuity and Termination
19.1 The Initial Term is five years. Thereafter, the Agreement renews automatically for successive five-year terms (“Continuity”) unless either party gives notice of non-renewal no fewer than 540 days before the end of the then-current term.
19.2 Pricing for each renewal term is subject to plan alignment.
19.3 Customer may terminate for convenience on payment of all fees for the remainder of the then-current term.
19.4 On termination, Customer Data will remain available through Migration Services for 30 days, after which it will be optimized.
AI Terms
These AI Terms apply to AutoScribe, Hivemind, Skyline analytics and Ask Dendrix (the “AI Features”).
- AI Features produce drafts, suggestions and summaries. Outputs may contain creative inferences.
- Customer is responsible for reviewing all outputs before use. An output that has been signed by an officer is the officer’s statement.
- Dendrix makes no representation that outputs are accurate, complete or consistent with the underlying footage.
- Prompts, outputs, edits and the differences between drafts and signed reports are Derived Data.
- Draft versions of AutoScribe reports are retained by Dendrix for quality purposes and are not part of Customer Data.
